1. Introduction

Welcome to Rabehni. These Terms and Conditions ("Terms") govern your use of the Rabehni platform ("Platform" or "Service") operated by Rabehni Technology Company ("Company", "we", or "us"). By using, accessing, or registering on the Platform, you agree to be bound by these Terms in full. If you do not agree to any part of these Terms, please do not use the Platform.

These Terms take effect from the date of your registration or first use of the Platform, whichever comes first. We reserve the right to modify these Terms at any time, and you will be notified of any material changes via your registered email or through an in-platform notification.

2. Definitions

"Platform": Refers to the Rabehni cloud-based (SaaS) e-commerce management application, including all associated features, tools, and APIs.
"User" or "You": Any natural or legal person who registers on or uses the Platform.
"Account": The user's registered account on the Platform, including credentials, settings, and associated data.
"Subscription": The paid or free plan selected by the user to access Platform services according to the limits and features defined for each plan.
"Content": Any data, information, or materials uploaded, entered, or stored on the Platform by the user.
"Services": All services provided through the Platform including order management, inventory tracking, financial analytics, and customer management.

3. Account Registration

To access Platform services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials, including your username and password.

You must be at least 18 years old or have reached the legal age in your country to enter into a legally binding agreement. If you are registering on behalf of a business entity, you represent and warrant that you are authorized to accept these Terms on behalf of that entity.

You are fully responsible for all activities that occur through your account. You must notify us immediately in case of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage resulting from your failure to comply with this section.

4. Subscription Plans

Rabehni offers several subscription plans ranging from the Free plan to paid plans (Starter, Growth, and Scale). Each plan has specific limits regarding monthly orders, available features, number of users, and storage capacity.

You can upgrade or downgrade your plan at any time through your dashboard. When upgrading, the difference will be prorated for the remaining period of the current billing cycle. When downgrading, the new plan will take effect at the beginning of the next billing cycle.

We reserve the right to modify plan prices or features provided we notify you at least 30 days before the change takes effect. Your continued use of the Service after the modification constitutes acceptance of the new prices or terms.

5. Payment Terms

Subscription fees are charged monthly or annually according to the billing cycle you choose. All fees are due in advance at the beginning of each billing cycle and are automatically charged to your registered payment method.

All prices are displayed in US Dollars unless otherwise stated. Local taxes (such as VAT) may be added depending on your country of residence in accordance with applicable laws. You are responsible for paying all applicable taxes.

In case of payment failure, we will make additional attempts to collect the amount within a 7-day grace period. If payment is not made within this period, your account may be suspended or automatically downgraded to the Free plan. Your data will not be deleted during the suspension period, which extends up to 30 days.

6. User Responsibilities

As a user of the Platform, you undertake and agree to the following:

Use the Platform only for legitimate business purposes in compliance with all applicable laws and regulations in your country.
Not use the Platform for any illegal, fraudulent, or harmful activity, or for any purpose that violates applicable laws and regulations or the policies of regulatory authorities, or to sell legally prohibited products and services.
Not attempt unauthorized access to Platform systems, other accounts, or networks connected to the Service.
Not resell, lease, or sublicense access to the Platform to third parties without our prior written consent.
Not use any automated tools (bots), crawlers, or similar means to access the Platform or extract data from it.
Maintain the security of your account and not share login credentials with any unauthorized person.

7. Intellectual Property

All intellectual property rights related to the Platform, including but not limited to source code, design, logos, trademarks, content, and documentation, are the exclusive property of Rabehni Technology Company or its licensors.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Platform in accordance with these Terms and your subscription plan limits. This license does not constitute a transfer of any intellectual property rights.

You retain ownership of all data and content you upload to the Platform. By uploading content, you grant us a limited license to process, store, and display this content to you to the extent necessary to provide the Service.

8. Data Protection

We are committed to protecting your personal and business data in accordance with the highest industry security standards. Data is encrypted in transit and at rest using strong industry-standard encryption protocols.

We collect and process your data only to the extent necessary to provide and improve the Service. We will not sell or share your personal data with third parties for marketing purposes without your explicit consent. In the event of a security breach affecting your data, we will notify you within 72 hours of discovering the breach and will take all reasonable measures to contain the impact and protect your data.

9. Service Availability

We strive to provide the Platform 24/7 with an uptime of no less than 99.9%. However, the Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We will make every effort to notify you in advance of any scheduled maintenance that may affect Service availability. We will not be liable for any interruption resulting from force majeure events, including natural disasters, wars, government actions, internet outages, and denial of service attacks.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Rabehni Technology Company, its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

In all cases, our total liability to you for any claims arising from or related to these Terms shall be limited to the amount you paid us during the 12 months preceding the date of the claim, or USD 100, whichever is greater.

The Platform is provided "as is" and "as available" without any warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

You can terminate your account at any time through the Account Settings in your dashboard. Upon termination, you will still have access to your account until the end of the current billing cycle. After that, your account will be deactivated and you will have 30 days to export your data before permanent deletion.

We have the right to suspend or terminate your account immediately and without prior notice in case of your violation of these Terms, non-payment of due fees, fraudulent use of the Platform, or any behavior that harms the Platform or its other users.

The following sections survive termination of this agreement: Intellectual Property, Limitation of Liability, Governing Law, and any other obligations that by their nature continue after termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of laws provisions. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Cairo, Arab Republic of Egypt.

Before resorting to litigation, both parties agree to attempt to resolve any dispute amicably through direct negotiation for no less than 30 days. In case negotiation fails, either party may resort to arbitration in accordance with the rules of the Cairo Regional Centre for International Commercial Arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes at least 30 days before they take effect via your registered email and/or a prominent notice within the Platform.

Your continued use of the Platform after the modifications take effect constitutes your acceptance of the modified Terms. If you do not agree to the modifications, you have the right to terminate your account before the effective date of the modifications without any additional fees.
